(&#8220;Homeward&#8221;).<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">By accessing or using Homeward Talks, including our website, forums, discussion spaces, events, webinars, resources, and related services (collectively, the &#8220;Platform&#8221;), you agree to be bound by these Terms of Service (&#8220;Terms&#8221;).<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">If you do not agree with these Terms, you may not access or use the Platform.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>1. Eligibility<\/strong><\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">You must be at least 18 years of age to create an account or use the Platform.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">By using the Platform, you represent and warrant that:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>You have the legal capacity to enter into these Terms;<\/li>\n\n\n\n<li>All information you provide is accurate and current;<\/li>\n\n\n\n<li>Your use of the Platform complies with all applicable laws.<\/li>\n<\/ul>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>2. Purpose of the Platform<\/strong><\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Homeward Talks is intended to facilitate professional discussion, education, networking, and collaboration related to public affairs, government relations, policy, advocacy, community leadership, and related topics.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The Platform is not intended to provide legal, financial, accounting, investment, political, lobbying, regulatory, or other professional advice.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Any information shared on the Platform is provided for general informational purposes only.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>3. User Accounts<\/strong><\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">You may be required to create an account to access certain features.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">You are responsible for:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Maintaining the confidentiality of your login credentials;<\/li>\n\n\n\n<li>All activity occurring under your account;<\/li>\n\n\n\n<li>Promptly notifying us of any unauthorized access.<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">We reserve the right to suspend or terminate accounts that violate these Terms.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>4. Community Standards<\/strong><\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Users are expected to participate respectfully and professionally.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">You agree not to:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Harass, intimidate, threaten, or abuse other users;<\/li>\n\n\n\n<li>Post defamatory, discriminatory, hateful, or unlawful content;<\/li>\n\n\n\n<li>Impersonate another individual or organization;<\/li>\n\n\n\n<li>Distribute spam or unauthorized advertising;<\/li>\n\n\n\n<li>Upload malicious software or harmful code;<\/li>\n\n\n\n<li>Interfere with the operation of the Platform;<\/li>\n\n\n\n<li>Share confidential information without authorization.<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">We reserve the right to remove content and suspend or terminate accounts at our sole discretion.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>5. User Content<\/strong><\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">You retain ownership of any content you submit to the Platform, including posts, comments, documents, images, videos, and other materials (&#8220;User Content&#8221;).<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">By submitting User Content, you grant Homeward a non-exclusive, worldwide, royalty-free license to:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Host;<\/li>\n\n\n\n<li>Store;<\/li>\n\n\n\n<li>Display;<\/li>\n\n\n\n<li>Reproduce;<\/li>\n\n\n\n<li>Distribute;<\/li>\n\n\n\n<li>Modify as necessary for technical operation of the Platform.<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">You represent and warrant that you have all necessary rights to submit such content.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>6. Intellectual Property<\/strong><\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">All content provided by Homeward, including:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Training materials;<\/li>\n\n\n\n<li>Courses;<\/li>\n\n\n\n<li>Templates;<\/li>\n\n\n\n<li>Frameworks;<\/li>\n\n\n\n<li>Presentations;<\/li>\n\n\n\n<li>Videos;<\/li>\n\n\n\n<li>Graphics;<\/li>\n\n\n\n<li>Logos;<\/li>\n\n\n\n<li>Branding;<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">remain the property of Homeward Public Affairs Inc. or its licensors.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Users may not reproduce, sell, distribute, publish, or commercially exploit Homeward materials without written permission.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>7. Events, Webinars, and Educational Content<\/strong><\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Homeward Talks may offer webinars, workshops, learning sessions, discussion forums, and events.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Participation in these activities does not create:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>A consulting relationship;<\/li>\n\n\n\n<li>A legal advisor-client relationship;<\/li>\n\n\n\n<li>A lobbying relationship;<\/li>\n\n\n\n<li>Any professional services engagement.<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">Separate agreements may apply where Homeward is formally retained to provide professional services.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>8. Payments and Subscriptions<\/strong><\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">If the Platform offers paid memberships, subscriptions, events, or services:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Fees are payable in advance;<\/li>\n\n\n\n<li>Fees are non-refundable unless otherwise stated;<\/li>\n\n\n\n<li>We may change pricing with reasonable notice;<\/li>\n\n\n\n<li>Failure to pay may result in suspension of access.<\/li>\n<\/ul>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>9. Privacy<\/strong><\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Your use of the Platform is also governed by our Privacy Policy.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">By using the Platform, you consent to the collection, use, and disclosure of information as described in the Privacy Policy.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>10. Third-Party Services<\/strong><\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">The Platform may contain links to third-party websites, applications, or services.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Homeward is not responsible for:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Third-party content;<\/li>\n\n\n\n<li>Third-party privacy practices;<\/li>\n\n\n\n<li>Third-party products or services.<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">Accessing third-party services is at your own risk.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>11. Disclaimer of Warranties<\/strong><\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">The Platform is provided on an &#8220;as-is&#8221; and &#8220;as-available&#8221; basis.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">To the fullest extent permitted by law, Homeward disclaims all warranties, including:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Merchantability;<\/li>\n\n\n\n<li>Fitness for a particular purpose;<\/li>\n\n\n\n<li>Non-infringement;<\/li>\n\n\n\n<li>Accuracy or completeness of information.<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">We do not guarantee uninterrupted access to the Platform.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>12. Limitation of Liability<\/strong><\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">To the fullest extent permitted by law, Homeward, its officers, directors, employees, contractors, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Use of the Platform;<\/li>\n\n\n\n<li>Inability to access the Platform;<\/li>\n\n\n\n<li>User content;<\/li>\n\n\n\n<li>Reliance on information shared through the Platform.<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">In no event shall Homeward&#8217;s total liability exceed the amount paid by the user to Homeward during the twelve (12) months preceding the claim.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>13. Indemnification<\/strong><\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">You agree to indemnify and hold harmless Homeward, its directors, officers, employees, contractors, and affiliates from any claims, losses, damages, liabilities, and expenses arising from:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Your use of the Platform;<\/li>\n\n\n\n<li>Your violation of these Terms;<\/li>\n\n\n\n<li>Your violation of any law or third-party rights.<\/li>\n<\/ul>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>14. Suspension and Termination<\/strong><\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">We reserve the right to suspend or terminate access to the Platform at any time if:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>These Terms are violated;<\/li>\n\n\n\n<li>We believe continued access poses risk to users or the Platform;<\/li>\n\n\n\n<li>We discontinue the Platform.<\/li>\n<\/ul>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>15. Changes to These Terms<\/strong><\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">We may update these Terms from time to time.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Updated Terms will be posted on the Platform with a revised effective date.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Continued use of the Platform following changes constitutes acceptance of the revised Terms.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>16. Governing Law<\/strong><\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the laws of Canada applicable therein.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Any dispute arising from these Terms shall be submitted to the courts located in Ontario, Canada.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>17.
